BOARD OF TRUSTEE’S POSITION DESCRIPTION

Role:
An individual is elected as a Board Member to MDWIT for two years and can be renewed for additional service at the conclusion of their term.  Board members participate with other Board members in a body to make major policy decisions for the organization and to govern the affairs of MDWIT as a 501c3 non-profit in accordance with all the laws of Maryland and the United States of America. These responsibilities are carried out in five major areas: policymaking; planning, review, and evaluation; evaluating the performance of the Executive Director; financing the organization; and community relations.

Profile:
A member of the Board of Trustees is a leader in their professional life who must:
  • Be a person of high character and integrity, willing to commit to a belief in the mission and values of the organization.
  • Have an understanding of and appreciation for the importance of diversity in all areas and levels of community and business development.
  • Have skills and competencies in areas such as financial oversight, fundraising and community relations.
  • Have the ability to distinguish issues of governance as opposed to those of management.
  • Have the ability to see the big picture, analyze, think creatively, deliberate thoughtfully and make sound policy decisions for the good of MDWIT.

Expectations:
   
Attendance:
  • Attend Board four board meetings per year between January and December each year either in person or electronically.  One meeting will be in the form of a retreat if deemed appropriate by the executive committee.  Notify MDWIT staff three days prior to the meeting, if unable to attend.
  • Attendance at MDWIT sponsored events is strongly encouraged.

Officer of the Organization
  • Refine and help fulfill the Organization's Mission and Purpose
  • Select the Executive
  • Support the Executive and Review His or Her Performance
  • Ensure Effective Organizational Planning
  • Determine and Monitor the Organization's Programs and Services
  • Serve as a Court of Appeal
  • Assess Its Own Performance

Financial Support:
  • Ensure Adequate Resources
  • Make a personal or organizational contribution according to means and the requirement of the board membership.  For 2010 that amount is $1000 according to the bylaws.
  • Assist in fundraising activities by using personal contacts or identifying potential donors.
  • Manage Resources Effectively

Active Participation:
  • Participate in at least one committee as outlined in the bylaws.
  • Attend meetings for the committee.
  • Identify non-Board members to serve on the committee as both supporters and potential future board members.
  • Actively participate in the planning and implementation of committee related events.

Public Relations:
  • Become an ambassador for MDWIT in the greater community, telling our story whenever possible.
  • Enhance the Organization's Public Image

Preparation:
  • Prepare carefully for Board meetings and be well informed about the work of the Board.

Conduct:
  • Maintain the confidentiality of Board decisions until such time as they are officially released.
  • Abstain from any decisions, actions, or activities in which you or your organization might direct financial benefit.
  • Abstain from any actions that might lead to a conflict of interest.
